In a groundbreaking case, a Canadian court has ruled that a thumbs-up emoji sent via text message can be considered as consent to a contract. The ruling came about as a result of a breach of contract dispute between two companies, South West Terminal Ltd. (SWT) and Achter Land & Cattle Ltd., involving the delivery of flax seeds.

The Case and the Thumbs-Up Emoji:

  • The case involved farmer Chris Achter and grain buyer Kent Mickleborough, who had reached an agreement for the sale of 87 metric tons of flax. Mickleborough had signed the contract and sent a picture of it to Achter, asking for confirmation. In response, Achter sent a thumbs-up emoji. However, Achter failed to deliver the flax as agreed, prompting Mickleborough to file a lawsuit claiming that the thumbs-up emoji indicated his agreement to the contract.
  • The Judge’s Ruling Judge T.J. Keene sided with Mickleborough, ruling that the thumbs-up emoji sent by Achter constituted an agreement to the contract. The judge determined that the use of the emoji demonstrated an intention to consent and accepted it as a legally binding form of acceptance. As a result, Achter was ordered to pay Mickleborough $82,200 CAD ($61,000 USD) in damages.
  • The Argument and Counterargument Achter, on his part, claimed that he did not view the thumbs-up emoji as a signature or a form of agreement.
